01Acceptance and contract structure
By accessing this website, requesting a quotation, booking a consultation, purchasing a digital product or instructing TT Design & Concepts (“TT”, “we”, “us” or “our”), you agree to these Terms and Conditions. A signed proposal, invoice, statement of work, service agreement or written project brief may add project-specific terms. If there is a conflict, the more specific written project document controls for that project.
Business customers and consumersNothing in these terms removes rights that cannot legally be excluded under applicable consumer-protection law.
02Services, estimates and scope
TT provides website and e-commerce development, software development, authorised cybersecurity services, branding, social-media and SEO services, technical support, developer products and related consulting. Website prices and package descriptions are starting structures unless a quotation states that a price is fixed.
- A quotation is valid for the period stated on it and may change when scope, exchange rates, third-party costs, deadlines or technical requirements change.
- Work outside the agreed scope requires written approval and may attract additional fees or a revised timeline.
- Research, discovery, audits, strategy, prototypes and consultations may be separately billable.
03Payments, deposits and taxes
Invoices are payable in the currency and by the deadline shown on the invoice. Unless a project document states otherwise, TT may require a non-refundable mobilisation deposit before reserving production time or beginning work. Milestone payments become due when the applicable milestone is reached.
- The client is responsible for transfer fees, taxes, duties and third-party charges unless the quotation expressly includes them.
- TT may pause work, hosting, support, access or delivery when an invoice is overdue.
- Ownership or release of final production files may be withheld until all due amounts are paid.
04Client responsibilities
The client must provide accurate instructions, authorised access, content, feedback and approvals on time. The client warrants that it owns or is licensed to use all text, images, logos, data, software, credentials and other materials supplied to TT.
- Do not send passwords, payment PINs, recovery codes or sensitive credentials through ordinary forms or social messages.
- The client must review names, prices, claims, product information, legal notices and final deliverables before launch.
- Delays in content, access, approval or payment may move the delivery date.
05Revisions, approvals and delivery
Included revisions are limited to the number and type stated in the selected package or proposal. A revision changes an agreed concept; it does not replace the brief or create a new project. Silence after a review request may be treated as approval where the project document provides a response deadline.
Timelines are estimates unless expressly guaranteed in writing. Launch may depend on third-party platforms, app stores, payment gateways, hosting companies, domain registrars, email providers or client approvals that TT does not control.
06Intellectual property and portfolio use
After full payment, the client receives the ownership or licence rights stated in the proposal. Pre-existing TT tools, reusable code, frameworks, methods, templates, stock assets, third-party software and open-source components remain subject to their original ownership and licences.
TT may display non-confidential completed work in its portfolio and marketing materials unless a written confidentiality or white-label agreement says otherwise. Unreleased work, access credentials, private systems and confidential client information will not be published without permission.
07Third-party services, hosting and platforms
Third-party products and services are governed by their own terms, pricing, availability and privacy practices. TT does not guarantee that a third party will approve an account, maintain an API, continue a feature or avoid downtime.
- The client must renew domains, hosting, licences, app-store accounts and subscriptions unless TT has expressly accepted that responsibility.
- Premium themes or plugins are supplied only where TT or the client has valid usage and redistribution rights.
- Free or redistributed developer products are provided under the licence displayed on the product page and may not include original-vendor updates, keys or support.
08Authorised cybersecurity and account recovery
TT performs cybersecurity, phishing response, spoofing and spam mitigation, testing, recovery and related work only for systems or accounts that the client owns or is authorised to manage. The client may be required to provide written authorisation and proof of control.
TT does not offer hacking-back, unauthorised access, credential interception, retaliation or activity intended to damage another person’s systems. Recovery outcomes may depend on platform providers, evidence quality and third-party decisions and are therefore not guaranteed.
09Support, warranties and maintenance
Support periods, response targets and included tasks are limited to the applicable package or maintenance plan. After the support period, changes, updates, compatibility work, malware cleanup, content edits and new features may be charged separately.
TT will use reasonable professional care but does not warrant uninterrupted operation, perfect security, guaranteed rankings, guaranteed sales, guaranteed platform approval or error-free third-party services.
10Cancellation, refunds and abandoned projects
Cancellation rights and refunds depend on the service, work completed, reserved production time, digital delivery and any mandatory consumer rights. Completed discovery, strategy, design, coding, uploaded products, licences, transaction charges and approved milestones are generally chargeable.
TT may treat a project as inactive or abandoned after prolonged client silence. Reactivation may require payment of outstanding invoices, a restart fee and a revised schedule.
11Liability and indemnity
To the extent permitted by law, TT is not liable for indirect, incidental or consequential loss, lost profits, loss caused by client instructions, unauthorised changes, weak client security, third-party outages or materials supplied by the client. Any aggregate contractual liability will not exceed the fees paid to TT for the specific service giving rise to the claim, except where the law does not permit that limitation.
The client is responsible for claims arising from unlawful content, intellectual-property infringement, misleading claims, unauthorised data, illegal products or instructions supplied by the client.
12Privacy and communications
TT processes personal data for enquiries, contracts, service delivery, security, fraud prevention and legal obligations. Marketing messages are sent only where there is an appropriate lawful basis, and a person may withdraw marketing consent. Service and transactional messages may still be sent where necessary to perform a contract or manage an account.
13Complaints, governing law and changes
Please send complaints first to hello@ttdesignconcepts.com with relevant invoices, dates and evidence. The parties should attempt good-faith resolution before court proceedings. These terms are governed by the laws of the Federal Republic of Nigeria, while mandatory rights in another jurisdiction may still apply to an eligible consumer.
TT may update these terms for future transactions. Material changes will not retroactively replace an already signed project agreement unless the parties agree.
